Title: When do venture capital firms retain equity shares after investee IPO?

Abstract: This study develops a real options framework on venture capital investors’ (VCs) exit strategy after investee ventures go public. IPO presents an opportunity for VCs to cash out and realize the value of their investments. Yet, many VCs choose to retain a significant ownership stake after venture IPO. Extant research suggests that VCs retain equity to signal the quality of investees. We offer the view that pre-IPO equity investment in a venture constitutes an option to divest equity post-IPO. We propose that the exit decision depends in part on the factors that determine the value of the exit option, including market uncertainty and the VC’s privileged knowledge about the value-creating potential of the venture’s assets. The empirical analysis provides supportive evidence for our argument.

Key words: venture capital, post-IPO cashout, uncertainty, asymmetric knowledge, real options

Topic:

Why Would Anyone Join a Startup? Preferences, Ability, and Structural Constraints in First-Time Employment in Startups or Established Firms

Abstract:

Entrepreneurship scholars and policy makers pay increasing attention to individuals who join entrepreneurial ventures as employees. Established firms also recognize the importance of attracting innovative and entrepreneurial workers. It is not clear, however, why some people join startups while others work for established firms. We examine the extent to which individuals’ initial employment outcomes are explained by career preferences, ability, and structural constraints in the labor market. Using panel data on 2,284 scientists and engineers observed during graduate school and again in fulltime employment, we find strong evidence of preference-based sorting. At the same time, labor market factors including the limited availability of startup jobs and work visa requirements constrain preference-based sorting into startup employment, while ability does little to explain sorting. Finally, individuals with entrepreneurial career preferences whose initial employment is in an established firm are more likely to leave within 3 years to join a startup. We discuss implications for entrepreneurship research as well as for the management of human capital, firm performance, and public policy.

EEE Seminar Series: "Conceptions of entrepreneurial ability..." Dan Forbes
Dan Forbes (University of Minnesota) is going to share his recent research:

Conceptions of entrepreneurial ability: Some evidence from academic entrepreneurs

Abstract:
Much entrepreneurship research has sought to identify individual-level attributes associated with entrepreneurial ability. Attributes explored in past studies include people's personality traits, their cognitive processes, and, more recently, their genetic profiles. But despite longstanding interest in measuring these attributes and their effects, beliefs about entrepreneurial ability remain underexplored. This is unfortunate, because beliefs have important implications for people's behavior regardless of whether those beliefs are true. Moreover, ability-related beliefs, in particular, have been shown to be consequential in other domains of activity, such as education. In this study, we explore the conceptions of entrepreneurial ability held by academic entrepreneurs, or university-based scientists seeking to commercialize new technologies. We conduct an inductive analysis based on interview data obtained with these entrepreneurs, and we identify several key properties and variations among their beliefs.

EEE Seminar Series: "Constitutional Change as an External Enabler of Entrepreneurship"

Title: Constitutional Change as an External Enabler of Entrepreneurship

Speaker:
Tomasz Mickiewicz, professor, Aston Business School

Abstract:
Institutions are seen as being slow to change and hence help explain stable differences in entrepreneurship rates across countries. We develop a new perspective, clarifying the influence of short-term institutional change on entrepreneurial activity. We test hypotheses about the consequences of change at different level of institutions, utilizing a multilevel dataset derived from GEM. We distinguish between constitutional and regulatory change, and argue why the former impacts entrepreneurship, utilizing lenses of prospect theory and bounded rationality. These micro foundations help us to explain the pattern of response of entrepreneurs: constitutional changes have asymmetric effects that differs over time.

Paper: Dear Enemy: Litigation and Cooperation in a Mobile Phone Standard Development Organization

Abstract: We study the impact of conflict on cooperation within wireless telecom standards development. Although research on alliance management emphasizes mechanisms of formal and informal governance such as contractual terms and trust building as strategies to avoid cooperative failure, there is limited systematic inquiry into inter-organizational conflict. We build on the insights from evolutionary game theory to highlight the strategic implications of conflict while competing for resources. We empirically analyze the effects of patent litigation events on cooperative efforts within the 3GPP standard development organization which sets global standards for mobile communications. We find that, overall, litigation conflict increases cooperation within litigating dyads, supporting the ‘dear enemy’ view in evolutionary games, but it also enhances defendants’ cooperative efforts with other firms to potentially steer the standard development process away from the aggressor. Further, we find that technological distance and relational resources moderate the dear enemy effect. Our findings hold implications for understanding the dynamics of cooperation in the context of technological competition and standard development.

Marketing Seminar: “Learning from Product Recalls..."
Guiyang Xiong presents his paper, “Learning from Product Recalls: Roles of the Stock Market and Organizational Defense Mechanisms Ratings” Abstract: Product recall is a marketing failure that should prompt firms to invest in improving their marketing capabilities to avoid future recalls. Yet, firms need to divert resources for short-term crisis management immediately after the recall. Therefore, firms may not want to expend additional resources for learning unless the incentive to do so is strong. In the context of public firms, we consider the mediating role of the stock market in incentivizing recalling firms to improve their marketing capability post-recall, as well as the impact of these changes on the rate of future recalls. Further, we argue that this mediating role is contingent on several moderators, as predicted by organizational defense theory. We test a moderated-mediation model using large-scale archival data compiled from various sources regarding 12 years of CPSC product recall records. The results show that severity, as perceived by investors (i.e., stock market penalty), completely mediates the effect of recall severity (i.e., consumer injuries) on improvements in marketing capability. Multiple contingent factors such as branding strategy, operational capability, competitors’ recall and customer relationship intensity significantly influence this mediated effect. Finally, post-recall improvements in marketing capability reduces the rate of future recalls.

Established in 1949, the Harry E. Salzberg Program enriches the student learning experience by fostering a close community of students, faculty, staff and practitioners of supply chain who collaborate to advance the state of knowledge, engage the mind and stimulate the best effort of all.

The Salzberg Medallion has come to be recognized as one of the most prestigious awards in the field of transportation and supply chain management—in part because of the caliber of past honorees, as well as the program's rigorous selection process.

Each year, former Salzberg Medallion recipients and other distinguished practitioners active in the transportation and supply chain management fields are invited to nominate individuals and companies for consideration for the award. A screening committee of Syracuse University faculty and active professionals then deliberates and selects the honorees.

The annual Salzberg Program is made possible by the continued support of our Franklin Supply Chain Management Advisory Board.

OVF Program 10th Anniv. Celebration

Analysts in the Orange Value Fund Program hosted at the Whitman School’s Ballentine Investment Institute at Syracuse University have managed the Orange Value Fund, LLC since its creation in 2006. The program’s first academic class of advisors began during the 2007-08 academic year. What started as a $1.1 million fund has grown to $5.5 million today. Nearly 100 finance/accounting majors have participated in the two-year analyst program, which combines academic, research, money management and career components under the leadership of Fernando Diz, The Martin J. Whitman Professor of Finance at the Whitman School, who is also the Managing Director of the Fund.

On Whitman Day 2018, OVF alumni have been invited to return to campus to celebrate the 10-year milestone; for many it will be their first trip back to campus. Mr. Whitman, as well as notable finance executives will be on hand to celebrate and meet with current students. For more information about the OVF, its program and investment approach, visit the website.
